By accessing our website, requesting a proposal, scheduling a consultation, purchasing services, or otherwise engaging with MKting Solutions LLC, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. 2. Eligibility and Acceptance of Terms

2.1 Eligibility

The Services offered by MKting Solutions LLC are intended for individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under applicable law. If you are accessing or using the Services on behalf of a corporation, limited liability company, partnership, nonprofit organization, or other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms of Service.

2.2 Acceptance of Terms

By accessing our website, scheduling a consultation, requesting a proposal, purchasing Services, submitting payment, or otherwise engaging with MKting Solutions LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, and any additional agreements incorporated by reference.

If you do not agree to these Terms, you must immediately discontinue use of the website and refrain from purchasing or using our Services.

2.3 Business Purpose

Clients acknowledge that the Services are designed to assist with business consulting, marketing strategy, lead generation, sales development, customer acquisition, training, prospecting, and related professional consulting services.

2.4 Accurate Information

You agree to provide accurate, complete, and current information when communicating with MKting Solutions LLC, including information provided through contact forms, consultation requests, project questionnaires, payment forms, and any other means of communication.

You further agree to promptly update any information that becomes inaccurate or outdated during the course of a project or engagement.

2.5 Compliance with Applicable Laws

Clients are solely responsible for ensuring that their business operations, products, services, marketing practices, and sales activities comply with all applicable federal, state, local, and international laws and regulations.

When Services include lead generation, outbound prospecting, appointment setting, or cold calling, the Client remains solely responsible for complying with all applicable telemarketing, consumer protection, privacy, anti-spam, and data protection laws, including obtaining any required consents or permissions necessary for lawful communications.

MKting Solutions LLC does not provide legal advice regarding regulatory compliance, and nothing contained in our Services should be interpreted as legal guidance.

2.6 Right to Refuse Service

MKting Solutions LLC reserves the right, in its sole discretion, to refuse, suspend, or terminate Services to any individual or organization that:

  • Provides false or misleading information.

  • Uses or intends to use our Services for unlawful, fraudulent, deceptive, or unethical purposes.

  • Requests Services that violate applicable laws or regulations.

  • Engages in abusive, threatening, discriminatory, or harassing conduct toward our employees, contractors, or representatives.

  • Fails to comply with these Terms or any applicable agreement between the parties.

2.7 International Clients

Our Services may be offered to clients located outside the United States. Clients are responsible for ensuring that the purchase and use of our Services are lawful within their jurisdiction and for complying with any applicable local laws, taxes, licensing requirements, or regulatory obligations.

2.8 Electronic Agreement

You acknowledge and agree that your electronic acceptance of these Terms, including acceptance by clicking an acceptance box, submitting an online form, signing electronically, or making payment for Services, constitutes your legal agreement to these Terms and has the same force and effect as a handwritten signature.



3. Services

3.1 Overview of Services

MKting Solutions LLC provides professional business consulting and marketing services designed to help businesses improve customer acquisition, sales performance, marketing effectiveness, and overall business growth. Services are tailored to each client's objectives and may vary depending on the scope of work outlined in the applicable proposal, quotation, Statement of Work ("SOW"), or other written agreement.

Our services may include, but are not limited to:

  • Business consulting and strategic planning

  • Marketing consulting and campaign development

  • Lead generation and prospect generation

  • Sales development consulting

  • Customer acquisition strategies

  • Marketing strategy design and implementation

  • Sales and marketing training

  • Appointment setting consulting

  • CRM consulting and sales process optimization

  • AI and business automation consulting

  • Digital marketing consulting

  • Cold calling campaign services (when contracted)

  • Market research and business analysis

  • Business development consulting

  • Ongoing advisory and coaching services

The specific services purchased by a Client will be identified in the applicable proposal, invoice, service agreement, or Statement of Work.

3.2 Customized Professional Services

All consulting services provided by MKting Solutions LLC are customized to the Client's individual business needs. Recommendations, strategies, reports, and deliverables are developed based on the information supplied by the Client and the Company's professional experience.

No two engagements are identical, and the scope of Services may be modified only through mutual written agreement.

3.3 Service Delivery

Services are delivered remotely unless otherwise agreed in writing. Delivery methods may include:

  • Video conferencing platforms

  • Telephone consultations

  • Email communications

  • Electronic reports and documentation

  • Online training sessions

  • Digital presentations

  • Marketing strategy documents

  • CRM or workflow recommendations

  • Other electronic means appropriate to the engagement

MKting Solutions LLC does not ship physical products unless expressly stated in a written agreement.

3.4 Lead Generation and Prospecting Services

Where contracted, MKting Solutions LLC may provide lead generation and prospecting services intended to identify potential business opportunities that match criteria established by the Client.

Lead generation services may include research, prospect identification, outreach strategy, appointment setting support, or related consulting activities. Because market conditions, customer behavior, competition, and Client responsiveness vary, the Company does not guarantee a specific number of qualified leads, appointments, sales, revenue, or conversion rates unless expressly stated in a separate written agreement.

3.5 Cold Calling Services

If included within the purchased Services, MKting Solutions LLC may conduct outbound cold calling campaigns or assist Clients in developing and implementing outbound calling strategies.

The Client is solely responsible for ensuring that its products, services, offers, contact lists, and marketing practices comply with all applicable laws and regulations governing telemarketing, consumer protection, privacy, and business communications. MKting Solutions LLC reserves the right to refuse or discontinue any campaign that it reasonably believes may violate applicable law or ethical business practices.

3.6 Client Cooperation

The successful delivery of Services depends on timely cooperation from the Client. Clients agree to provide requested information, approvals, access credentials, feedback, and other materials necessary for the Company to perform the Services.

Delays caused by the Client may result in revised project schedules or delivery timelines.

3.7 Estimated Delivery Time

Delivery schedules vary depending on the nature of the Services, project complexity, Client responsiveness, target market conditions, availability of required information, and the strategies implemented.

Any estimated timeline provided by MKting Solutions LLC is a good-faith estimate and should not be interpreted as a guaranteed completion date. Certain consulting engagements, marketing strategies, lead generation campaigns, and cold calling initiatives may require additional time for planning, implementation, optimization, testing, or evaluation.

3.8 Independent Professional Judgment

Clients acknowledge that MKting Solutions LLC exercises independent professional judgment in providing recommendations and consulting services. While Client objectives are considered throughout the engagement, the Company retains discretion regarding the professional methods, strategies, and recommendations used to deliver the agreed Services.

3.9 Modification of Services

MKting Solutions LLC reserves the right to improve, modify, suspend, or discontinue any Service offering at any time. Such changes will not materially affect Services that have already been purchased unless required by law, mutually agreed upon in writing, or made necessary by circumstances beyond the Company's reasonable control.




4. Quotes, Proposals, and Statements of Work

4.1 Service Proposals

Prior to the commencement of Services, MKting Solutions LLC may provide a written proposal, quotation, estimate, Statement of Work ("SOW"), service agreement, or similar document describing the scope of Services, project objectives, estimated timelines, deliverables, and applicable fees.

Unless otherwise stated in writing, all proposals are provided for informational purposes only and do not constitute a binding agreement until accepted by both the Client and MKting Solutions LLC.

4.2 Acceptance of a Proposal

A proposal or quotation shall be deemed accepted when any of the following occurs:

  • The Client signs or electronically accepts the proposal or agreement.

  • The Client submits payment for the proposed Services.

  • The Client provides written authorization to proceed.

  • The Client instructs MKting Solutions LLC to begin work.

Upon acceptance, the proposal, Statement of Work, invoice, or service agreement becomes part of these Terms of Service and governs the specific engagement.

4.3 Scope of Services

The scope of each engagement is limited to the Services specifically described in the applicable proposal, quotation, Statement of Work, invoice, or written agreement.

Any request for additional work, revisions beyond the agreed scope, expanded consulting, additional lead generation activities, new marketing campaigns, or other services not originally included may require a separate agreement and additional fees.

4.4 Changes to the Scope of Work

Clients may request modifications to the agreed scope of Services. MKting Solutions LLC will evaluate such requests and, if accepted, may provide a revised proposal outlining any changes to pricing, timelines, deliverables, or project requirements.

No modification to the scope of work shall be binding unless confirmed in writing by both parties.

4.5 Estimates and Timelines

Any project schedules, completion dates, delivery estimates, campaign projections, or implementation timelines are provided in good faith based on the information available at the time the proposal is prepared.

Actual delivery dates may vary due to factors including, but not limited to:

  • Client responsiveness.

  • Delays in receiving requested information or approvals.

  • Changes to project scope.

  • Market conditions.

  • Third-party service providers.

  • Technical issues.

  • Regulatory or compliance requirements.

  • Other circumstances beyond the Company's reasonable control.

Estimated timelines are not guarantees of completion.

4.6 Client Responsibilities During the Engagement

The Client agrees to cooperate in good faith throughout the engagement by providing timely responses, requested documents, approvals, account access, contact information, branding materials, and any other resources reasonably necessary for MKting Solutions LLC to perform the Services.

Project timelines may be extended if the Client fails to provide required information or approvals within a reasonable period.

4.7 Expiration of Quotes and Proposals

Unless otherwise stated in writing, quotations and proposals issued by MKting Solutions LLC are valid for thirty (30) calendar days from the date of issuance.

After expiration, pricing, project scope, availability, and estimated timelines may be revised without prior notice.

4.8 Independent Contractor Relationship

MKting Solutions LLC performs all Services as an independent contractor. Nothing contained in these Terms, a proposal, Statement of Work, or any related agreement shall be interpreted as creating a partnership, joint venture, agency relationship, employment relationship, or fiduciary relationship between the Company and the Client.

4.9 Conflicts Between Documents

If there is a conflict between these Terms of Service and a separately executed written Service Agreement or Statement of Work signed by both parties, the signed Service Agreement or Statement of Work shall control solely with respect to the specific engagement addressed in that document. All other provisions of these Terms shall remain in full force and effect.



5. Payment Terms

5.1 Fees for Services

The Client agrees to pay all fees for the Services as set forth in the applicable proposal, quotation, invoice, Statement of Work ("SOW"), or other written agreement. All fees are stated in U.S. Dollars (USD) unless otherwise specified.

5.2 Payment Due

Payment is due as indicated on the applicable invoice or payment request. Unless otherwise agreed in writing, MKting Solutions LLC is under no obligation to begin providing Services until payment has been received and successfully processed.

5.3 Accepted Payment Methods

MKting Solutions LLC accepts payment through secure third-party payment processors, including Stripe, as well as other payment methods that may be made available from time to time.

By submitting payment, the Client represents and warrants that they are authorized to use the selected payment method and authorize MKting Solutions LLC and its payment processors to charge the applicable amount for the purchased Services.

MKting Solutions LLC does not store complete payment card information. Payment information is processed securely by third-party payment providers in accordance with their applicable terms and privacy practices.

5.4 Taxes

Unless expressly stated otherwise, quoted prices do not include applicable sales, use, value-added, or similar taxes. The Client is responsible for paying any taxes required by applicable law, excluding taxes based solely on MKting Solutions LLC's net income.

5.5 Pricing Errors

While MKting Solutions LLC strives to ensure accurate pricing, typographical, clerical, or technical errors may occur. The Company reserves the right to correct any pricing or billing errors and, where appropriate, provide the Client with the opportunity to accept the corrected pricing or cancel the order before Services commence.

5.6 Late or Failed Payments

If a payment is declined, reversed, returned, or otherwise fails to process, MKting Solutions LLC may suspend or delay Services until the outstanding balance has been paid in full.

The Company reserves the right to withhold deliverables, reports, recommendations, training materials, or other work product until all outstanding amounts have been satisfied.

5.7 Chargebacks and Payment Disputes

The Client agrees to contact MKting Solutions LLC at help@mktingsolutionsllc.com before initiating a chargeback or payment dispute with their financial institution or payment provider.

The Company is committed to resolving billing concerns in good faith and encourages Clients to provide an opportunity to investigate and address any issues before filing a payment dispute.

If a chargeback or payment dispute is initiated for Services that have already been provided, MKting Solutions LLC reserves the right to suspend ongoing Services, withhold future deliverables where permitted by law, and provide documentation supporting the validity of the transaction to the applicable payment processor or financial institution.

5.8 No Automatic Renewals

Unless expressly agreed to in a separate written agreement, MKting Solutions LLC does not automatically renew consulting engagements or charge recurring subscription fees.

Any future services require a new proposal, invoice, or written authorization from the Client.

5.9 Refunds

Refunds are governed by the Company's separate Refund & Cancellation Policy, which is incorporated into these Terms by reference.

Nothing in this section limits any rights that cannot be waived under applicable consumer protection laws.

5.10 Currency

All payments are processed in United States Dollars (USD) unless otherwise agreed in writing.

Clients making payments from outside the United States acknowledge that their financial institution may apply currency conversion rates, foreign transaction fees, or other charges, which are the sole responsibility of the Client.

5.11 Collection of Outstanding Amounts

If any undisputed amount remains unpaid after reasonable collection efforts, MKting Solutions LLC reserves the right to pursue lawful collection remedies, including the use of collection agencies or legal proceedings where appropriate.

The Client may be responsible for reasonable costs of collection, including court costs and reasonable attorneys' fees, to the extent permitted by applicable law.

5.12 Reservation of Rights

Failure by MKting Solutions LLC to immediately enforce any payment obligation shall not constitute a waiver of its right to collect amounts lawfully owed or to enforce these Terms at a later date.




6. Client Responsibilities

6.1 Cooperation and Good Faith

The Client agrees to cooperate in good faith throughout the engagement and to provide all information, documentation, approvals, access credentials, branding materials, and other resources reasonably required for MKting Solutions LLC to perform the agreed Services.

Failure to provide requested information or timely responses may delay project completion or affect the quality and effectiveness of the Services.

6.2 Accurate Information

The Client represents and warrants that all information, data, documents, marketing materials, customer information, and business details provided to MKting Solutions LLC are accurate, complete, and lawful.

MKting Solutions LLC is entitled to rely on information supplied by the Client and is not responsible for errors, omissions, or adverse outcomes resulting from inaccurate, incomplete, or misleading information.

6.3 Timely Communication

The Client agrees to respond to requests for approvals, revisions, decisions, and project-related communications within a reasonable timeframe. Delays in communication may extend delivery timelines, require adjustments to project schedules, or impact the Company's ability to achieve project objectives.

6.4 Required Access

Where necessary for the performance of the Services, the Client agrees to provide appropriate access to relevant systems, accounts, software platforms, websites, customer relationship management (CRM) systems, advertising accounts, communication tools, or other business resources.

The Client is responsible for ensuring that it has the legal authority to grant such access.

6.5 Compliance with Laws

The Client is solely responsible for ensuring that its products, services, marketing activities, advertising, customer communications, telemarketing practices, privacy practices, and business operations comply with all applicable federal, state, local, and international laws and regulations.

The Client shall obtain all licenses, registrations, permits, authorizations, and consents required for its business activities.

6.6 Lead Generation and Cold Calling Compliance

When Services involve lead generation, appointment setting, outbound prospecting, or cold calling, the Client acknowledges that it is solely responsible for:

  • The legality of its products or services.

  • The accuracy of marketing claims.

  • Compliance with applicable telemarketing, privacy, consumer protection, and anti-spam laws.

  • Maintaining any required internal Do Not Call lists or suppression lists.

  • Honoring consumer opt-out requests where applicable.

  • Reviewing and approving campaign scripts, messaging, and outreach strategies before implementation.

MKting Solutions LLC provides consulting and implementation assistance but does not assume responsibility for the Client's legal compliance or regulatory obligations.

6.7 Review and Approval of Deliverables

The Client agrees to promptly review all deliverables, recommendations, reports, training materials, campaign strategies, scripts, or other work product provided by MKting Solutions LLC and to notify the Company of any concerns within a reasonable period.

Failure to provide timely feedback or approval may delay project progress and shall not constitute a breach by the Company.

6.8 Implementation Responsibility

Unless expressly stated in a separate written agreement, the Client is responsible for implementing the recommendations, strategies, and guidance provided by MKting Solutions LLC.

The Company is not responsible for outcomes resulting from the Client's failure to implement recommendations, delayed implementation, modifications made by the Client, or implementation performed by third parties.

6.9 Appropriate Use of Services

The Client agrees not to use the Company's Services for any unlawful, fraudulent, deceptive, misleading, abusive, or unethical purpose, including but not limited to:

  • Violating applicable laws or regulations.

  • Infringing the intellectual property rights of others.

  • Engaging in deceptive or misleading advertising.

  • Promoting illegal products or services.

  • Conducting fraudulent schemes or scams.

  • Distributing malicious software or harmful content.

  • Harassing, threatening, or discriminating against individuals.

MKting Solutions LLC reserves the right to immediately suspend or terminate Services if it reasonably believes the Client is using the Services for prohibited purposes.

6.10 Client Delays

Project schedules and estimated delivery dates assume timely cooperation from the Client. If delays occur because required information, approvals, access, or materials are not provided, MKting Solutions LLC may revise project timelines accordingly and shall not be liable for resulting delays.

6.11 Independent Business Decisions

The Client acknowledges that all business decisions, including whether to implement recommendations, pricing strategies, marketing campaigns, hiring decisions, advertising expenditures, or operational changes, remain solely the responsibility of the Client.

MKting Solutions LLC provides professional consulting services only and does not control or manage the Client's business operations.

6.12 Indemnification for Client Content

The Client represents that it owns or has the necessary rights to all materials, content, trademarks, logos, customer data, contact lists, scripts, and other information provided to MKting Solutions LLC.

The Client agrees to indemnify and hold harmless MKting Solutions LLC from any claims, damages, liabilities, or expenses arising from materials or information supplied by the Client that infringe the rights of third parties or violate applicable law.



7. Lead Generation and Marketing Services

7.1 Scope of Lead Generation Services

MKting Solutions LLC provides lead generation, prospect generation, business development consulting, marketing strategy, customer acquisition consulting, appointment setting support, sales process consulting, and related professional services designed to assist Clients in identifying and engaging potential customers.

Services are customized for each Client based on the agreed scope of work and may include one or more of the following:

  • Lead research and prospect identification

  • Target market analysis

  • Ideal customer profile development

  • Marketing strategy consulting

  • Sales funnel consulting

  • Customer acquisition planning

  • Outbound prospecting

  • Appointment setting support

  • Cold calling campaigns (when contracted)

  • Sales process optimization

  • CRM workflow recommendations

  • Marketing training and coaching

  • Campaign performance analysis

  • AI-powered business and marketing automation consulting

The specific Services provided will be identified in the applicable proposal, Statement of Work, service agreement, or invoice.

7.2 Customized Services

Each engagement is tailored to the Client's business, industry, target audience, products, services, and objectives. Recommendations and strategies are developed using information supplied by the Client together with MKting Solutions LLC's professional experience and industry knowledge.

No two projects are identical, and results may vary significantly between Clients.

7.3 Lead Quality

MKting Solutions LLC strives to identify prospects that reasonably match the targeting criteria established by the Client. However, the Company cannot guarantee that every lead will become a customer, schedule an appointment, respond to outreach efforts, or generate revenue.

Lead quality may be affected by numerous factors, including but not limited to:

  • Market conditions

  • Industry competition

  • Product or service demand

  • Pricing

  • Brand reputation

  • Customer needs

  • Timing

  • Geographic location

  • Economic conditions

  • The Client's sales process and follow-up efforts

7.4 Marketing Strategy Services

Marketing strategies, recommendations, reports, and consulting provided by MKting Solutions LLC are intended to support informed business decision-making. The Client remains solely responsible for determining whether and how to implement any recommendations.

The Company does not guarantee that implementation of any marketing strategy will result in increased sales, revenue, market share, profitability, or other specific business outcomes.

7.5 Cold Calling Campaigns

Where included within the agreed scope of Services, MKting Solutions LLC may assist with outbound prospecting or cold calling campaigns.

Campaign performance depends on numerous variables outside the Company's control, including:

  • Target audience responsiveness

  • Script approval

  • Offer quality

  • Product or service competitiveness

  • Market demand

  • Seasonal factors

  • Client responsiveness

  • Availability of accurate contact information

  • Third-party telecommunications providers

Clients acknowledge that business success depends on numerous factors beyond the Company's reasonable control.

The effectiveness of lead generation and marketing Services depends significantly upon the Client's active participation.

Clients agree to:

  • Respond promptly to inquiries.

  • Review campaign materials in a timely manner.

  • Approve scripts and messaging when applicable.

  • Maintain accurate product and pricing information.

  • Implement agreed recommendations where appropriate.

  • Maintain lawful and ethical sales practices.

7.8 No Employment or Agency Relationship

MKting Solutions LLC acts solely as an independent consulting service provider. Nothing in these Terms shall be interpreted as creating an employment relationship, agency relationship, partnership, joint venture, brokerage relationship, or fiduciary relationship between the Company and the Client.

7.9 Third-Party Platforms

Certain Services may involve the use of third-party software, communication platforms, customer relationship management systems (CRMs), advertising platforms, artificial intelligence tools, or telecommunications providers.

MKting Solutions LLC is not responsible for service interruptions, outages, policy changes, data loss, pricing changes, or other actions taken by third-party providers that may affect the delivery or performance of Services.

The Client is solely responsible for:

  • Maintaining and honoring applicable opt-out or suppression requests where required by law.

MKting Solutions LLC does not provide legal advice regarding regulatory compliance and recommends that Clients consult qualified legal counsel regarding their specific legal obligations.

8.4 Commercially Reasonable Efforts

MKting Solutions LLC will perform cold calling services using commercially reasonable efforts, professional judgment, and industry best practices. While the Company strives to conduct effective outreach campaigns, it cannot guarantee specific campaign outcomes.

8.5 No Guaranteed Results

The Client acknowledges that cold calling performance depends on numerous factors outside the Company's reasonable control, including:

  • Market demand

  • Industry competition

  • Target audience responsiveness

  • Quality of the Client's products or services

  • Pricing

  • Sales process

  • Follow-up effectiveness

  • Economic conditions

  • Seasonal trends

  • Accuracy of contact information

  • Third-party telecommunications services

Accordingly, MKting Solutions LLC does not guarantee any specific number of calls, conversations, qualified leads, appointments, sales opportunities, conversions, contracts, revenue, or return on investment unless expressly provided in a separately executed written agreement.

8.6 Client Follow-Up

The Client acknowledges that successful sales outcomes depend substantially on timely follow-up with prospective customers.

Unless otherwise agreed in writing, MKting Solutions LLC is not responsible for:

  • Closing sales.

  • Negotiating contracts.

  • Responding to prospective customers after an appointment has been scheduled.

  • Managing the Client's internal sales process.

  • Customer retention.

8.7 Campaign Adjustments

Campaign strategies, scripts, targeting criteria, and outreach methods may be adjusted during the engagement based on campaign performance, Client feedback, industry trends, or other relevant factors.

Any material changes affecting project scope, pricing, or deliverables will be discussed with the Client before implementation.

MKting Solutions LLC provides cold calling services solely as an independent contractor. Nothing in these Terms creates an employment relationship, agency relationship, partnership, joint venture, or exclusive business relationship between the Company and the Client.

8.11 Campaign Completion

A cold calling engagement shall be considered substantially complete when MKting Solutions LLC has performed the services described in the applicable proposal or Statement of Work, even if campaign performance differs from the Client's expectations due to factors outside the Company's reasonable control.

MKting Solutions LLC provides professional consulting services designed to assist businesses in improving marketing performance, lead generation, customer acquisition, sales development, operational efficiency, and overall business growth.

  • Lead conversion rates

  • Return on investment (ROI)

  • Market share

  • Competitive advantage

  • Business valuation

The Client acknowledges that all business decisions involve risk and that past performance does not guarantee future results.

9.7 Training Services

Where included in the agreed scope of Services, MKting Solutions LLC may provide business, sales, marketing, customer service, CRM, automation, or leadership training.

Training materials are intended for educational and informational purposes and should not be interpreted as guarantees of business performance or specific operational results.

9.8 Intellectual Property

Unless otherwise agreed in writing, all consulting methodologies, frameworks, templates, proprietary processes, reports, presentations, training materials, documents, software, graphics, and other work product created by MKting Solutions LLC remain the intellectual property of the Company.

Upon full payment, the Client receives a limited, non-exclusive, non-transferable license to use the deliverables provided solely for the Client's internal business purposes. The Client may not reproduce, resell, sublicense, distribute, publish, or commercially exploit the Company's proprietary materials without prior written consent.

9.9 Third-Party Information

Consulting recommendations may reference third-party software, vendors, platforms, technologies, service providers, or publicly available information.

MKting Solutions LLC does not warrant or endorse any third-party product or service and is not responsible for the performance, availability, security, pricing, policies, or actions of third-party providers.

9.10 Completion of Consulting Engagement

A consulting engagement shall be considered complete when MKting Solutions LLC has delivered the consulting services, reports, recommendations, training sessions, or other deliverables identified in the applicable proposal, Statement of Work, or service agreement.

Completion of the agreed Services does not guarantee that the Client will achieve any particular business objective, financial result, or operational outcome.

Marketing strategy services may include, but are not limited to:

  • Lead generation planning

  • Brand positioning and messaging

  • Market and competitor analysis

  • Implement agreed strategies in a timely manner.

Training is provided for educational and informational purposes and is intended to assist Clients in developing their internal capabilities.

10.7 Educational Materials

Any templates, guides, presentations, reports, worksheets, videos, documents, or other educational materials provided by MKting Solutions LLC remain the intellectual property of the Company unless otherwise agreed in writing.

Clients may use such materials internally for their own business operations but may not reproduce, distribute, publish, sell, sublicense, or otherwise exploit the materials for commercial purposes without the Company's prior written consent.

10.8 Third-Party Platforms

11. No Guaranteed Results

The Client acknowledges that business consulting, marketing, lead generation, prospecting, sales development, customer acquisition, and related professional services involve variables and market conditions that are beyond the reasonable control of MKting Solutions LLC.

The Client understands that all business activities involve inherent risks and that no marketing strategy, consulting engagement, or lead generation campaign can guarantee a specific business outcome.

11.2 No Guarantee of Business Performance

Unless expressly stated in a separately executed written agreement signed by both MKting Solutions LLC and the Client, the Company does not guarantee:

  • A specific number of leads or prospects.

  • Qualified appointments or meetings.

  • Closed sales or executed contracts.

  • Revenue increases.

  • Profitability.

  • Return on investment (ROI).

  • Conversion rates.

  • Customer retention.

  • Business growth.

  • Market share.

  • Search engine rankings.

  • Advertising performance.

  • Social media engagement or follower growth.

  • Any other financial or commercial outcome.

Any examples of prior results, case studies, testimonials, or marketing materials are provided for illustrative purposes only and should not be interpreted as a promise or guarantee that similar results will be achieved.

11.3 Commercially Reasonable Efforts

MKting Solutions LLC agrees to perform the Services using commercially reasonable efforts, professional judgment, industry knowledge, and generally accepted business practices.

The Company is committed to providing high-quality consulting and professional services but cannot control or guarantee factors outside its reasonable control.

11.4 Factors Affecting Results

The Client acknowledges that business outcomes may be affected by numerous factors, including but not limited to:

  • Market conditions.

  • Industry competition.

  • Economic conditions.

  • Consumer demand.

  • Product or service quality.

  • Pricing strategies.

  • Sales execution.

  • Customer service.

  • Internal staffing.

  • Advertising budgets.

  • Brand reputation.

  • Client responsiveness.

  • Implementation of recommendations.

  • Third-party software or service providers.

  • Regulatory changes.

  • Technological changes.

Because these factors vary significantly between Clients and industries, actual results may differ substantially from expectations.

11.5 Client Responsibility

The Client retains sole responsibility for all business decisions, operational changes, implementation of recommendations, hiring decisions, pricing strategies, marketing expenditures, customer communications, and other actions affecting the Client's business.

The Client acknowledges that successful outcomes depend substantially upon the Client's own efforts and decisions.

11.6 Estimates and Projections

Any forecasts, projections, performance estimates, timelines, campaign expectations, or strategic recommendations provided by MKting Solutions LLC represent professional opinions based on information available at the time they are prepared.

Such estimates are not guarantees of future performance and should not be interpreted as promises of specific results.

11.7 Performance Commitments

If MKting Solutions LLC offers a performance commitment or service guarantee, it shall apply only when expressly set forth in a separate written agreement signed by both parties.

Any such agreement shall define the applicable performance metrics, measurement period, Client responsibilities, exclusions, limitations, and available remedies. No marketing statement, website content, proposal, presentation, or verbal communication shall create a binding performance guarantee unless incorporated into a signed written agreement.

11.8 Third-Party Performance

MKting Solutions LLC is not responsible for the actions, omissions, policies, service interruptions, pricing changes, or performance of third-party providers, including but not limited to advertising platforms, telecommunications providers, CRM systems, artificial intelligence platforms, software vendors, hosting providers, analytics services, or other external services used in connection with the Client's project.

11.9 Client Acknowledgment

By purchasing or using the Services, the Client acknowledges that they have read and understood this section and agree that payment is made for the Company's professional expertise, consulting services, strategic recommendations, and commercially reasonable efforts—not for any guaranteed business outcome.

The Client further acknowledges that dissatisfaction with business performance alone does not constitute evidence that MKting Solutions LLC failed to perform the Services described in the applicable proposal, Statement of Work, invoice, or service agreement.




12. Performance Commitment

12.1 Commitment to Professional Services

MKting Solutions LLC is committed to providing professional consulting, marketing strategy, lead generation, training, prospect generation, and business development services using commercially reasonable efforts, recognized industry practices, and sound professional judgment.

The Company is committed to delivering the Services described in the applicable proposal, Statement of Work ("SOW"), service agreement, or invoice in a professional, ethical, and timely manner.

12.2 Service Performance

MKting Solutions LLC's primary commitment is to perform the agreed Services with diligence, competence, and professionalism. Unless otherwise expressly stated in a separately executed written agreement, the Company's obligation is to provide the contracted Services and deliver the agreed consulting, recommendations, reports, training, strategies, campaigns, or other deliverables.

12.3 Conditional Performance Commitments

From time to time, MKting Solutions LLC may offer performance commitments for specific engagements. Any such commitment shall be valid only if:

  • It is expressly stated in a written agreement signed by both parties.

  • The applicable performance metrics are clearly defined.

  • The measurement period is specified.

  • The Client fulfills all responsibilities identified in the agreement.

  • The Client timely implements all required recommendations.

  • No material changes are made to the agreed strategy without the Company's written approval.

No website content, advertising, proposal, presentation, verbal statement, email, or marketing material shall be interpreted as creating a binding performance commitment unless incorporated into a signed written agreement.

12.4 Client Responsibilities

Any performance commitment is contingent upon the Client's ongoing cooperation and fulfillment of its obligations, including but not limited to:

  • Providing accurate and complete information.

  • Approving deliverables in a timely manner.

  • Implementing agreed strategies without unreasonable delay.

12.7 Exclusive Remedy

If MKting Solutions LLC determines that it has not satisfied a valid performance commitment expressly set forth in a signed written agreement, the Company's sole obligation shall be the remedy specified in that agreement, which may include additional consulting services, campaign adjustments, or other mutually agreed corrective measures.

Except where prohibited by law or expressly agreed in writing, no performance commitment shall entitle the Client to automatic refunds, consequential damages, lost profits, or other monetary compensation.

This Performance Commitment section shall be interpreted together with the "No Guaranteed Results" section of these Terms. Except as expressly provided in a signed written agreement, nothing in this section shall be construed as creating a guarantee of sales, revenue, profits, conversion rates, return on investment (ROI), or any other specific business outcome.



13. Intellectual Property

13.1 Ownership of Intellectual Property

Unless otherwise expressly stated in a separate written agreement, all intellectual property rights in and to the Services provided by MKting Solutions LLC remain the exclusive property of MKting Solutions LLC or its licensors.

This includes, but is not limited to:

  • Consulting methodologies

  • Marketing strategies and frameworks

  • Lead generation systems

  • Prospecting methodologies

  • Cold calling scripts and templates

  • Sales processes and workflows

  • CRM configurations and automation workflows

  • AI prompts, automations, and business process designs

  • Training materials and educational content

  • Reports, presentations, analyses, and recommendations

  • Graphics, logos, branding, and website content

  • Forms, templates, checklists, worksheets, and documentation

  • Software, code, custom tools, and digital assets

  • Any other proprietary materials developed by or for MKting Solutions LLC

Nothing in these Terms transfers ownership of the Company's intellectual property to the Client.

13.2 Limited License to Client

Upon full payment of all applicable fees, MKting Solutions LLC grants the Client a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the deliverables specifically provided under the applicable agreement solely for the Client's internal business purposes.

Except as expressly authorized in writing, the Client may not:

  • Copy or reproduce proprietary materials.

  • Sell, resell, or commercially exploit Company materials.

  • Publish or distribute Company documents.

  • Modify proprietary frameworks for resale.

  • License or sublicense Company materials.

  • Reverse engineer proprietary systems or processes.

  • Remove copyright notices or proprietary markings.

13.3 Client-Owned Materials

The Client retains ownership of all intellectual property that it provides to MKting Solutions LLC, including but not limited to:

  • Logos

  • Trademarks

  • Business names

  • Marketing materials

  • Product information

  • Contact lists

  • Website content

  • Images

  • Videos

  • Documents

  • Other proprietary business information

The Client grants MKting Solutions LLC a limited, non-exclusive license to use such materials solely as necessary to perform the contracted Services.

13.4 Newly Created Deliverables

Unless otherwise agreed in writing, deliverables specifically created for the Client as part of the Services may be used by the Client for its internal business operations after payment has been made in full.

However, MKting Solutions LLC retains ownership of its underlying methodologies, proprietary processes, templates, frameworks, software, know-how, trade secrets, and pre-existing intellectual property incorporated into those deliverables.

13.5 Feedback

If the Client provides suggestions, recommendations, comments, ideas, or other feedback relating to the Company's Services, the Client grants MKting Solutions LLC a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, publish, or otherwise exploit such feedback without compensation or attribution.

13.6 Confidential Methodologies

The Client acknowledges that the Company's consulting methodologies, sales systems, marketing processes, automation workflows, pricing models, training programs, scripts, templates, and operational procedures constitute valuable proprietary information and trade secrets.

The Client agrees not to disclose, copy, reproduce, distribute, or use such proprietary information for the benefit of any third party except as expressly permitted in writing by MKting Solutions LLC.

13.7 Copyright

All content available on the Company's website, including text, graphics, images, videos, downloads, documents, software, source code, page layouts, designs, icons, and other materials, is protected by applicable United States and international copyright laws.

Unauthorized reproduction, distribution, modification, republication, or commercial use of such content is prohibited without prior written permission from MKting Solutions LLC.

13.8 Trademarks

"MKting Solutions LLC," the Company's logos, branding elements, slogans, service names, and other identifiers are trademarks or proprietary marks of MKting Solutions LLC unless otherwise indicated.

Nothing contained in these Terms grants the Client any right to use the Company's trademarks, service marks, logos, or branding without prior written authorization.

13.9 Third-Party Intellectual Property

Certain Services may incorporate third-party software, platforms, templates, stock images, fonts, APIs, or other licensed materials.

Ownership of such third-party intellectual property remains with the applicable owner, and the Client's use of those materials is subject to the respective third-party license terms.

MKting Solutions LLC makes no representation regarding the continued availability or licensing terms of third-party products or services.

13.10 Reservation of Rights

All rights not expressly granted to the Client under these Terms are reserved by MKting Solutions LLC.

No implied license, ownership interest, assignment, or transfer of intellectual property rights shall arise by virtue of providing Services, accepting payment, or delivering work product unless expressly stated in a written agreement signed by both parties.



14. Confidentiality

14.1 Confidential Information

During the course of providing Services, each party ("Disclosing Party") may disclose confidential or proprietary information to the other party ("Receiving Party"). Confidential Information includes any non-public information, whether disclosed orally, electronically, visually, or in writing, including but not limited to:

  • Business plans and strategies

  • Marketing plans and campaigns

  • Customer and prospect information

  • Sales data and financial information

  • Pricing and proposals

  • Trade secrets and proprietary methodologies

  • CRM data and workflows

  • Software configurations and automation processes

  • Training materials and internal documentation

  • Login credentials and account information

  • Technical, operational, and commercial information

  • Any information identified as confidential or that reasonably should be understood to be confidential based on its nature.

14.2 Confidentiality Obligations

Each Receiving Party agrees to:

  • Maintain the confidentiality of all Confidential Information using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.

  • Use Confidential Information solely for the purpose of performing or receiving the Services.

  • Limit access to Confidential Information to employees, contractors, or professional advisors who have a legitimate business need to know the information and who are subject to confidentiality obligations.

  • Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except as permitted by these Terms or required by law.

14.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no wrongful act of the Receiving Party.

  • Was lawfully known to the Receiving Party before disclosure by the Disclosing Party.

  • Is lawfully obtained from a third party without a duty of confidentiality.

  • Is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information.

14.4 Required Disclosures

If the Receiving Party is required by law, court order, subpoena, or governmental authority to disclose Confidential Information, it may do so only to the extent legally required. Where legally permitted, the Receiving Party will provide prompt notice to the Disclosing Party to allow the Disclosing Party an opportunity to seek appropriate protective measures.

14.5 Client Data

MKting Solutions LLC will use Client information solely for the purpose of providing the contracted Services, communicating with the Client, processing payments, maintaining business records, complying with legal obligations, and improving its services, as described in the Company's Privacy Policy.

The Company will implement commercially reasonable administrative, technical, and organizational safeguards designed to protect Client information against unauthorized access, use, or disclosure. However, no method of electronic storage or transmission is completely secure, and MKting Solutions LLC cannot guarantee absolute security.

14.6 Company Proprietary Information

The Client acknowledges that MKting Solutions LLC's consulting methodologies, business processes, lead generation techniques, sales strategies, training materials, scripts, automation workflows, templates, pricing models, and other proprietary information constitute valuable confidential and trade secret information.

The Client agrees not to disclose, copy, distribute, publish, or use such information for the benefit of any third party except as expressly authorized in writing by MKting Solutions LLC.

14.7 Confidentiality of Communications

Both parties agree to treat communications relating to ongoing projects, proposals, pricing, negotiations, and business operations as confidential unless disclosure is authorized in writing or required by applicable law.

14.8 Duration of Confidentiality

The confidentiality obligations contained in this section shall remain in effect during the business relationship and shall continue for a period of five (5) years after the termination or completion of the Services, except for trade secrets, which shall remain protected for so long as they qualify as trade secrets under applicable law.

14.9 Return or Destruction of Confidential Information

Upon written request and subject to applicable legal, accounting, tax, regulatory, or record-retention requirements, each party shall return or securely destroy the other party's Confidential Information that is no longer required for the performance of the Services.

MKting Solutions LLC may retain archival copies to the extent reasonably necessary to comply with legal obligations, resolve disputes, enforce these Terms, maintain backup systems, or preserve business records.

14.10 No Transfer of Ownership

Disclosure of Confidential Information under these Terms does not transfer ownership of any intellectual property, trade secret, or proprietary right. All Confidential Information remains the property of the Disclosing Party.

14.11 Survival

The obligations contained in this Confidentiality section shall survive the completion, expiration, cancellation, or termination of the Services and these Terms of Service.



15. Acceptable Use

15.1 General Requirements

Clients agree to use MKting Solutions LLC’s website, Services, deliverables, strategies, and communications only for lawful, ethical, and legitimate business purposes in compliance with all applicable laws and regulations.

The Client is responsible for ensuring that its use of the Services does not violate any laws, regulations, industry standards, or third-party rights.

15.2 Prohibited Uses

The Client agrees not to use, or permit the use of, MKting Solutions LLC’s Services or deliverables for any of the following:

  • Any unlawful, fraudulent, deceptive, or misleading activity.

  • Engaging in or facilitating scams, misrepresentation, or false advertising.

  • Sending spam, unsolicited mass communications, or unlawful marketing messages.

  • Violating telemarketing, consumer protection, privacy, or data protection laws.

  • Infringing upon the intellectual property rights of any third party.

  • Collecting, using, or storing personal data without proper legal authorization or consent.

  • Harassing, threatening, or discriminating against individuals or groups.

  • Promoting or facilitating illegal goods, services, or activities.

  • Distributing malware, spyware, or any harmful code or content.

  • Circumventing security measures of any system, platform, or service.

  • Using purchased leads or prospect data in violation of applicable laws or platform terms of service.

  • Misrepresenting affiliation with MKting Solutions LLC or any third party.

15.3 Lead Generation and Outreach Compliance

Where Services involve lead generation, prospecting, outbound messaging, or cold calling, the Client agrees that:

  • All outreach will comply with applicable telemarketing, anti-spam, and privacy laws, including consent requirements where applicable.

  • The Client will maintain proper opt-out, suppression, or do-not-contact lists where required by law.

  • The Client is solely responsible for ensuring compliance with applicable calling time restrictions, recording consent laws, and identification requirements.

  • The Client will not use Services to target individuals in violation of applicable regulations or platform policies.

MKting Solutions LLC does not assume responsibility for the Client’s compliance with any such laws or regulations.

15.4 Ethical Business Practices

Clients agree to conduct their business activities in a professional, honest, and ethical manner and to ensure that all marketing claims, offers, pricing, and representations made to consumers are truthful, accurate, and not misleading.

MKting Solutions LLC reserves the right to refuse or terminate Services if it reasonably believes that the Client is engaging in unethical or deceptive business practices.

15.5 Security and Access

Clients may not attempt to gain unauthorized access to MKting Solutions LLC systems, accounts, data, or infrastructure, nor may they interfere with or disrupt the operation of the Company’s website or Services.

Clients are responsible for maintaining the confidentiality and security of any login credentials or access information provided in connection with the Services.

15.6 Third-Party Platform Compliance

Where Services involve third-party platforms (including advertising platforms, CRM systems, communication tools, or telecommunications providers), the Client agrees to comply with all applicable terms of service, usage policies, and guidelines imposed by those third parties.

MKting Solutions LLC is not responsible for any suspension, restriction, or termination of third-party accounts resulting from the Client’s actions or non-compliance.

15.7 Monitoring and Enforcement

MKting Solutions LLC reserves the right, but has no obligation, to monitor the use of its Services and deliverables for compliance with these Terms.

The Company may, in its sole discretion, suspend, restrict, or terminate Services immediately if it determines that the Client has violated or is likely to violate this Acceptable Use Policy.

15.8 Reporting Violations

MKting Solutions LLC encourages Clients and third parties to report any suspected violations of this Acceptable Use Policy. Reports may be submitted to:

15.9 No Waiver of Rights

Failure by MKting Solutions LLC to enforce any provision of this Acceptable Use Policy shall not constitute a waiver of its right to enforce such provision in the future or to take action in response to similar violations.



16. Refunds and Cancellations

16.1 General Policy

All fees paid to MKting Solutions LLC are for professional consulting services, strategy development, lead generation services, marketing services, training, and related deliverables as described in the applicable proposal, Statement of Work ("SOW"), invoice, or service agreement.

Due to the nature of consulting and digital service-based work, all sales are considered final unless otherwise expressly stated in writing or required by applicable law.

16.2 No Automatic Refunds

MKting Solutions LLC does not provide automatic refunds once Services have commenced, including but not limited to:

  • Strategy development

  • Research and analysis

  • Consulting sessions (live or recorded)

  • Lead generation or prospecting activities

  • Cold calling campaign preparation or execution

  • Delivery of reports, recommendations, or training materials

Fees compensate MKting Solutions LLC for time, expertise, planning, research, and professional services rendered, regardless of the Client’s subjective satisfaction with outcomes.

16.3 Cancellation by Client

Clients may request to cancel Services by submitting a written request to:

If cancellation is approved before work has begun, MKting Solutions LLC may, at its sole discretion, issue a partial refund, less any administrative costs, planning time, or expenses already incurred.

If Services have already begun, the Client remains responsible for payment of all Services performed up to the date of cancellation.

16.4 Cancellation by MKting Solutions LLC

MKting Solutions LLC reserves the right to cancel or terminate Services at any time if:

  • The Client violates these Terms.

  • The Client engages in abusive, fraudulent, or unlawful conduct.

  • The Client fails to provide required information or cooperation.

  • Continued performance becomes impractical or unsafe.

  • Payment is not received or is reversed.

  • The Client requests services outside the agreed scope.

In such cases, MKting Solutions LLC may, at its discretion, provide a partial refund based on work completed, though no refund is guaranteed.

16.5 Chargebacks and Payment Disputes

The Client agrees not to initiate a chargeback or payment dispute without first attempting to resolve the issue directly with MKting Solutions LLC.

All refund or billing concerns must be submitted to:

If a chargeback is initiated for Services already delivered or in progress, MKting Solutions LLC reserves the right to:

  • Provide all relevant documentation to the payment processor.

16.6 Digital and Consulting Services Acknowledgment

The Client acknowledges and agrees that:

  • Consulting, marketing strategy, and lead generation Services involve professional labor, time, and expertise that cannot be “returned” once delivered.

  • Business results are not guaranteed and are not grounds for a refund.

  • Dissatisfaction with outcomes does not constitute failure of performance.

16.7 Third-Party Costs

Any third-party costs incurred on behalf of the Client (including advertising spend, software subscriptions, data providers, or telecommunications services) are non-refundable once incurred.

16.8 Exceptions

Nothing in this section limits any rights that cannot legally be waived under applicable law. Any exception to this policy must be expressly agreed in a separate written agreement signed by MKting Solutions LLC.



17. Limitation of Liability

17.1 General Limitation

To the maximum extent permitted by applicable law, MKting Solutions LLC, including its members, managers, employees, contractors, agents, and affiliates, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Services, including but not limited to:

  • Loss of profits or revenue

  • Loss of business opportunities

  • Loss of goodwill or reputation

  • Loss of data or information

  • Business interruption

  • Cost of substitute services

  • Failure to achieve expected results

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if MKting Solutions LLC has been advised of the possibility of such damages.

17.2 No Guarantee of Outcomes

The Client acknowledges that MKting Solutions LLC provides consulting, marketing strategy, lead generation, prospecting, and related services on a professional best-efforts basis.

The Company does not guarantee any specific business outcomes, including but not limited to leads, sales, revenue, conversion rates, or return on investment (ROI). The Client assumes full responsibility for business decisions and outcomes resulting from implementation of any recommendations or strategies.

17.3 Maximum Liability

To the fullest extent permitted by law, the total aggregate liability of MKting Solutions LLC for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount actually paid by the Client to MKting Solutions LLC for the specific Service giving rise to the claim during the three (3) month period immediately preceding the event giving rise to the claim.

If no payment was made during that period, MKting Solutions LLC’s total liability shall be limited to one hundred U.S. dollars ($100).

17.4 Third-Party Services

MKting Solutions LLC is not responsible for any damages, losses, or liabilities arising from third-party services or platforms, including but not limited to:

  • Advertising platforms

  • CRM systems

  • Telecommunication providers

  • Email or messaging services

  • Software tools

  • Payment processors

  • Data providers

  • Artificial intelligence tools

The Client acknowledges that such third-party services are outside the control of MKting Solutions LLC and subject to their own terms and conditions.

17.5 Client Responsibility

The Client assumes full responsibility for:

  • Implementation of strategies and recommendations

  • Business decisions made based on consulting advice

  • Compliance with applicable laws and regulations

  • Marketing and sales communications conducted by the Client

  • Use of leads, scripts, or campaign materials provided by MKting Solutions LLC

MKting Solutions LLC shall not be liable for any outcomes resulting from the Client’s actions, omissions, or independent business decisions.

17.6 Force and Control Limitations

MKting Solutions LLC shall not be held liable for delays, failures, or damages caused by circumstances beyond its reasonable control, including but not limited to:

  • Market conditions

  • Internet or telecommunications failures

  • Platform outages or restrictions

  • Government actions or regulatory changes

  • Natural disasters

  • Labor disputes

  • Acts of third-party service providers

  • Cybersecurity incidents not caused by the Company

17.7 Legal Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, MKting Solutions LLC’s liability shall be limited to the maximum extent permitted by law.

17.8 Basis of Bargain

The Client acknowledges that the limitations of liability set forth in this section are an essential basis of the agreement between the parties and that the pricing of Services reflects this allocation of risk. Without these limitations, the Company would not be able to provide Services on the same terms or pricing.


18. Indemnification

18.1 Client Indemnification Obligations

The Client agrees to indemnify, defend, and hold harmless MKting Solutions LLC, including its members, managers, employees, contractors, agents, and affiliates, from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • The Client’s use of the Services or deliverables.

  • The Client’s business operations, products, services, marketing, advertising, or sales practices.

  • Any content, data, scripts, messaging, or materials provided by the Client.

  • The Client’s violation of any applicable law, regulation, or third-party rights.

  • The Client’s use of lead generation, prospecting, or cold calling strategies implemented or recommended by MKting Solutions LLC.

  • The Client’s failure to obtain necessary consent, permissions, or authorizations for marketing or outreach activities.

  • Any claims of false advertising, misleading statements, or improper communications made by or on behalf of the Client.

18.2 Scope of Defense

The Client’s obligation to defend MKting Solutions LLC includes providing legal defense at the Client’s sole expense using counsel reasonably acceptable to MKting Solutions LLC. The Company reserves the right, at its own expense, to participate in the defense of any matter involving indemnified claims.

18.3 Notification of Claims

MKting Solutions LLC will promptly notify the Client of any claim or legal action subject to indemnification. Failure to provide prompt notice shall not relieve the Client of its indemnification obligations, except to the extent that the Client is materially prejudiced by such delay.

18.4 Settlement Restrictions

The Client may not settle any claim involving MKting Solutions LLC without the Company’s prior written consent if such settlement:

  • Imposes any obligation or liability on MKting Solutions LLC.

  • Requires admission of fault or wrongdoing by MKting Solutions LLC.

  • Restricts or affects the Company’s rights or business operations.

18.5 Survival of Indemnification

The indemnification obligations set forth in this section shall survive the completion, expiration, termination, or cancellation of any Services or agreements between the Client and MKting Solutions LLC.

18.6 Independent Responsibility

The Client acknowledges that MKting Solutions LLC provides consulting, strategy, and implementation support only and does not control the Client’s business operations, communications, advertising content, or compliance practices. The Client remains solely responsible for all actions taken in connection with its business, including any use of strategies, recommendations, or deliverables provided by MKting Solutions LLC.

18.7 No Limitation of Other Rights

This indemnification provision is in addition to, and not in limitation of, any other rights or remedies available to MKting Solutions LLC under law, equity, or these Terms.

19. Dispute Resolution

19.1 Good Faith Resolution

The Client and MKting Solutions LLC agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any related agreement in good faith through informal discussions.

Before initiating formal legal proceedings or a payment dispute, the Client agrees to contact MKting Solutions LLC directly at:

The Company will make a reasonable effort to investigate and resolve the issue promptly and in good faith.

19.2 Mandatory Informal Negotiation

As a condition precedent to filing any arbitration or court proceeding, the parties agree to engage in good faith informal negotiations for a period of at least thirty (30) days following written notice of the dispute.

During this period, both parties agree to cooperate in providing relevant information necessary to evaluate and resolve the dispute.

19.3 Binding Arbitration

If the dispute cannot be resolved through informal negotiations, the parties agree that any unresolved dispute arising out of or relating to these Terms or the Services shall be resolved through final and binding arbitration, rather than in court, except where prohibited by law.

The arbitration shall be conducted in accordance with the rules of a recognized arbitration provider mutually agreed upon by the parties. The arbitration shall take place in the State of Wyoming unless otherwise required by applicable law.

19.4 Class Action Waiver

To the fullest extent permitted by law, the Client agrees that any dispute resolution proceedings shall be conducted only on an individual basis and not as part of a class, collective, consolidated, or representative action.

The Client expressly waives any right to participate as a plaintiff or class member in any purported class action or representative proceeding.

19.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in a small claims court located in the State of Wyoming, provided the matter falls within the jurisdictional limits of that court.

19.6 Injunctive Relief

Nothing in this section shall prevent MKting Solutions LLC from seeking immediate injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, trade secrets, or to prevent unauthorized use or misuse of its Services.

19.7 Attorneys’ Fees

In any dispute, arbitration, or legal proceeding arising out of or relating to these Terms or the Services, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, costs, and expenses to the extent permitted by law.

19.8 Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

19.9 Severability

If any provision of this Dispute Resolution section is found to be unenforceable or invalid under applicable law, such provision shall be severed, and the remaining provisions shall remain in full force and effect.



20. Governing Law (Wyoming)

20.1 Governing Law

These Terms of Service, and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any related agreements between the Client and MKting Solutions LLC, shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

20.2 Jurisdiction and Venue

Subject to the Dispute Resolution section requiring arbitration, the parties agree that Wyoming shall serve as the primary jurisdiction for any permitted legal proceedings, including but not limited to small claims actions or actions seeking injunctive relief.

The Client consents to the exclusive jurisdiction of courts located in the State of Wyoming for any matters not subject to arbitration.

20.3 Waiver of Objection

The Client agrees not to challenge jurisdiction or venue in Wyoming on the grounds of inconvenience or any other basis, and expressly waives any objection to such jurisdiction to the fullest extent permitted by law.

20.4 Business Location Acknowledgment

The Client acknowledges that MKting Solutions LLC is a Wyoming-registered limited liability company and that the selection of Wyoming governing law reflects the Company’s principal place of formation and business operations.

20.5 Severability

If any provision of this Governing Law section is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.



21. Force Majeure

21.1 Excused Performance

MKting Solutions LLC shall not be liable or responsible for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events, circumstances, or conditions beyond its reasonable control.

Such events may include, but are not limited to:

  • Natural disasters such as earthquakes, hurricanes, floods, fires, or storms

  • War, terrorism, civil unrest, or riots

  • Government actions, regulations, or legal restrictions

  • Labor disputes, strikes, or industrial disruptions

  • Internet, telecommunications, or power outages

  • Failures or disruptions of third-party platforms or service providers

  • Cyberattacks, hacking incidents, or widespread technical failures

  • Epidemics, pandemics, or public health emergencies

  • Acts of God or other unforeseeable events beyond reasonable control

21.2 Suspension of Services

During any Force Majeure event, MKting Solutions LLC’s obligations under these Terms shall be suspended for the duration of the event. The Company will make reasonable efforts to resume Services as soon as practicable once the event has been resolved or no longer materially affects performance.

21.3 No Liability for Delays

MKting Solutions LLC shall not be held liable for any delays, non-performance, or inability to deliver Services resulting from Force Majeure events. This includes any indirect or consequential losses suffered by the Client as a result of such delays or interruptions.

21.4 Payment Obligations

Force Majeure events do not relieve the Client of its obligation to pay for Services already rendered, work completed, or expenses incurred prior to or during the Force Majeure event, unless otherwise agreed in writing.

21.5 Notice

Where reasonably possible, MKting Solutions LLC will provide the Client with notice of a Force Majeure event affecting performance and will communicate any expected delays or changes to service delivery timelines.

21.6 Termination Option

If a Force Majeure event continues for more than sixty (60) consecutive days and materially prevents performance of the Services, either party may terminate the affected Services upon written notice. In such cases, the Client shall remain responsible for payment of all Services performed and non-cancellable expenses incurred up to the date of termination.



22. Electronic Communications

22.1 Consent to Electronic Communications

By using the Services, visiting the MKting Solutions LLC website, or communicating with MKting Solutions LLC through email or other digital platforms, the Client agrees to receive communications electronically.

Electronic communications may include, but are not limited to:

  • Emails

  • Text messages (SMS)

  • Website notifications

  • In-app or platform messages

  • Digital invoices, proposals, and contracts

  • Electronic signatures and agreements

  • Meeting links and scheduling communications

The Client agrees that all notices, disclosures, agreements, invoices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

22.2 Electronic Signatures

The Client agrees that electronic signatures, including those provided through approved third-party platforms, are legally binding and have the same legal effect as handwritten signatures.

The Client consents to entering into agreements, authorizations, and approvals electronically and acknowledges that such agreements are enforceable.

22.3 Communication Responsibility

The Client is responsible for ensuring that MKting Solutions LLC has an accurate and up-to-date email address and contact information.

The Client further agrees to:

  • Regularly check email and communication channels used for Services

  • Ensure messages from MKting Solutions LLC are not filtered into spam or junk folders

  • Promptly review and respond to communications related to Services, billing, or approvals

MKting Solutions LLC is not responsible for delays or missed communications due to outdated contact information or the Client’s failure to monitor communications.

22.4 Electronic Records

The Client agrees that MKting Solutions LLC may maintain electronic records of:

  • Agreements and contracts

  • Emails and communications

  • Invoices and payment records

  • Project notes and deliverables

  • Approvals, confirmations, and revisions

These electronic records shall be considered valid, accurate, and enforceable evidence of the parties’ communications and agreements.

22.5 Legal Validity

The Client agrees that electronic communications and records exchanged between the parties satisfy any applicable legal requirements for written communication, notice, or documentation, to the maximum extent permitted by law.

22.6 Opt-In Consent

Where required by law, the Client consents to receive transactional, informational, and service-related communications electronically and acknowledges that such communications are necessary for the delivery of Services.

The Client may request to limit certain non-essential communications, but acknowledges that doing so may impact the Company’s ability to provide Services effectively.



23. Changes to Terms

23.1 Right to Modify Terms
